What can I do for you?
I’m a corporate specialist and my work involves helping listed and private companies as well as those who fund them on a wide range of corporate matters. This includes sales and acquisitions, takeovers, raising finance, restructuring and joint ventures. In addition to companies, I also specialise in advising universities and other education bodies with their corporate needs including structuring spin outs, mergers and national and international collaborations.
Supporting my clients’ objectives
A real highlight for me was setting up the Mercia Technology Seed Fund - a technology fund involving eight West Midlands based universities, a regional development agency and private investors. We used our knowledge of university clients, RDAs and private investors and our funds expertise to design a structure which enabled all the investors to achieve their separate aims. I am very proud to have assisted in creating an important source of early stage finance for technology companies in the West Midlands.
Another recent example was our work for listed company CMR Fuel Cells plc. We helped them restructure, return cash to shareholders and delist from AIM to enable the business to grow away from the public markets. We designed the structure involving a tender offer, share repurchase and capital reduction and executed it quickly and efficiently with minimal fuss to ensure the company could conserve capital for its longer term growth.

We are members of industry associations such as the British Business Angels Association and UNICO which are helpful for keeping our clients up to speed with developments in the technology transfer and venture capital sectors. We also run a networking forum for in house lawyers to help keep our clients and contacts up to date on legal issues.
