I work in our corporate services team together with a team of experienced professionals acting for both local and national clients on a wide range of matters including acquisitions and disposals, group restructuring, contractual issues, commercial objectives and day to day corporate governance.
In particular, we provide advice to our clients throughout the entire acquisition and disposal process, including the heads of terms, negotiating and drafting the main acquisition and disposal agreement, the disclosure process and also dealing with post completion matters.
Given the changes made by the implementation of the Companies Act 2006, our clients are finding it more and more important to seek advice on day to day governance issues ranging from advice on directors' duties to amending articles of association.
Supporting my clients’ ambitions
We recently advised a family on the sale of their shares in a company that had been owned and managed by the family for many years while operating several department stores in the UK. It was an emotional process for the family but, through careful structuring and planning of the transaction, we were able to help the family achieve their ambition and exit the company at what they considered to be the correct time for them. The disclosure process was, in particular, time consuming given the history and nature of the business, but we were able to advise them step by step to ensure that the process was completed both fully and accurately.
I have also acted recently for Cheung Kong Infrastructure Holdings Limited (CKI), the Hong Kong listed infrastructure company, on its sale of Cambridge Water plc to HSBC Bank plc.
CKI is the largest publicly listed infrastructure company in Hong Kong and is part of the Cheung Kong and Hutchison Whampoa group of companies. The sale of Cambridge Water had to be completed to a very tight timescale to enable a consortium, led by CKI, to launch a recommended takeover bid for Northumbrian Water Group plc (NWG), the UK listed water company. The completion of the sale of Cambridge Water plc needed to take place prior to the launch of the bid for NWG due to the operation of the UK water regulations. The CKI consortium's offer values NWG's issued share capital at approximately £2.4 billion
