The core of Brian's practice is M&A: advising on buying and selling companies and businesses in a wide range of sectors including software, technology, pharmaceuticals, financial, agriculture and education. Additionally, and often alongside, Brian advises on solvent reorganisations, demergers and amalgamations. He also tries to find solutions to apparently intractable shareholder disputes.
Supporting your ambitions
A typical example of Brian's work was a four-way demerger of a group of companies to enable the shareholders to pursue different business and financial objectives while also making it possible for the core business to divest itself of peripheral and potentially distracting activities and to focus on its key business and market. This involved an internal restructuring, obtaining 100% shareholder consent and finally a capital reduction demerger.
Ironically the next job across Brian's desk was to amalgamate six companies in common ownership into a single group to achieve economies and to build towards a trade sale.
