HYBRID Software is a group of development and marketing companies focused on enterprise software for the graphic arts industry, with a strong focus on labels and packaging. HYBRID Software, registered in Luxembourg has subsidiaries in Belgium, Germany, Italy, France and the USA. Their two main product lines, CLOUDFLOW and PACKZ, offer native PDF workflow and editing, and are used by customers worldwide in all areas of pre-press and printing, including labels and packaging and folding cartons.
The EUR 80 million purchase price will be satisfied in full by issuing Global Graphics shares to Congra, allowing them to increase its existing majority shareholding.. The acquisition remains conditional upon, amongst other customary conditions, the passing of a shareholder resolution at a forthcoming general meeting to be held in early January 2021.
The deal was led by partner Stephen Hamilton with Principal Associate Alex Kenworthy and Associate Monty Chamberlain. They worked closely with Belgian law firm Liedekerke, who assisted with legal due diligence and interaction with the Belgium Financial Services and Markets Authority, given that shares in Global Graphics are listed on Belgium EURONEXT.
