Natural capital

Natural capital is transforming investment and sustainability. Our lawyers support clients navigating this evolving space - explaining what it is, how it is managed and how investment creates value for landowners, businesses and investors.

Natural capital refers to the environmental assets that underpin value, from land and biodiversity to carbon and natural resources. As investment and regulation in this area evolve, it presents both opportunity and complexity.

We help clients understand how these markets work in practice, manage legal and commercial risks and structure projects that deliver long-term value. Whether you are a landowner, investor or developer, we support you to generate sustainable income, meet regulatory requirements and make confident decisions in a rapidly developing market.

Our experience

Our team combines expertise across real estate, environmental, corporate and regulatory law, offering practical, commercially focused advice to help clients navigate natural capital projects with confidence.

  • Supporting landowners and estates to unlock value from their land, including establishing habitat banks, structuring biodiversity net gain (BNG) projects and advising on long-term ownership, tax and commercial arrangements.
  • Delivering habitat creation and monitoring arrangements, including strategic agreements for wetlands and biodiversity enhancement, alongside associated BNG unit transactions with developers.
  • Enabling clients to secure and implement conservation covenants, including negotiating with Responsible Bodies and structuring long-term habitat management and reporting frameworks.
  • Structuring option, lease and promotion agreements for land-based projects, helping clients generate sustainable income through biodiversity units, renewable energy schemes and wider natural capital opportunities.
  • Advising trustees, landowners and developers on BNG promotion agreements and revenue-sharing structures, including the sale and purchase of biodiversity units and conditional land arrangements.
  • Supporting the creation of natural capital and landscape recovery projects, including establishing corporate vehicles, governance structures and partnership arrangements, and advising on emerging natural capital markets including carbon and technology-enabled environmental solutions.
  • Advising on carbon-related and low carbon projects, including battery storage and carbon capture initiatives, supporting participation in emerging net zero and environmental markets.
  • Guiding clients through nutrient neutrality and environmental mitigation requirements, including establishing credit banks and structuring documentation to support planning applications.
  • Advising developers on BNG planning conditions and section 106 agreements, securing both onsite and offsite biodiversity solutions to enable development.
  • Delivering complex land and infrastructure projects, including negotiating sale and leaseback arrangements, resolving title issues and navigating planning and regulatory frameworks.
  • Undertaking environmental and technical due diligence, including biodiversity net gain assessments, ecological reviews and wider environmental risk analysis to support investment and development decisions.
  • Supporting projects backed by public sector funding and decarbonisation schemes, helping clients navigate regulatory requirements and unlock investment in nature-based and environmental projects.

Frequently asked questions

Natural capital refers to the stock of natural assets - such as land, soil, water, biodiversity and ecosystems - that provide measurable value to society and the economy. It is becoming increasingly important as regulation, policy and investment shift toward recognising and monetising environmental outcomes. For landowners, it creates new opportunities to generate income through biodiversity net gain (BNG), carbon credits and environmental schemes. For developers and investors, it introduces new legal, planning and commercial considerations that must be addressed early in projects. As markets mature, understanding how natural capital is defined, valued and managed in practice is essential to unlocking opportunities while managing risk and complying with evolving regulatory frameworks.
